Draft Minutes for December 2022 Annual General Meeting for Rotary International District 9705 Inc
AGENDA items were voted on by Electronic/Postal Ballot

The Annual General Meeting of the Ordinary Members – the Rotary Clubs of Rotary International District 9705 Inc – was held by electronic and postal ballot from 18 November to 16 December 2022. At the close of the ballot at midnight on Friday 16 December a quorum of 46 voting members had not been achieved, so an adjournment was called with new closing date for the ballot being 23 December 2022. At this later time a quorum of 46 votes were in the hands of the Returning Officer delegated the responsibility for collating the ballots.

Proposal 1
Bylaw Clause 1 – Definitions.
Constitutional documents: RI Constitution and Bylaws and Rotary Code of Policies, including RI Code of Conduct each as amended from time to time;
Proposal 2
Bylaw clause 4 - District Finance and Audit Committee
4.1 A District Finance and Audit Committee shall be appointed by the Board each year and shall include:
  1. the District Governor,
  2. the District Treasurer who shall be the chair
  3. the immediate past District Treasurer, when there is no IPDT available, a PDG can fill this role.
  4. the District Treasurer elect,
  5. Up to 3 appointed associate members
Proposal 3
4.2 The role of the Finance and Audit Committee shall include:
 
  1. assistance with the preparation of District budgets;
  2. review of all financial transactions of the District to ensure that proper records are kept;
  3. liaison with the District Auditor; and
  4. reporting to the Board and District Governor as required.
  5. assisting the district in the creation of policy regarding financial practice

  1. Acceptance a proposed amendment to the Constitution of Rotary International District 9705 Inc
The following amendment to the Constitution is recommended to the members.
25.4 Subject to the provisions of the Act, the Board will consist of-

  3. the District Governor Nominee (from the date of his or her nomination);
  4. the Office Bearers;
  5. Immediate Past District Governor;
  6. The District Rotaract Representative;
  7. two Area Governors appointed by the District Governor
